Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (an individual user or the organisation you represent) and Careerlinkk Digital Ventures Ltd (RC 9652318) for access to Business OS — our websites, APIs, mobile apps, and cloud software (the “Service”), including industry editions and shared modules.
By creating an account, clicking to accept, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation.
1. The Service
Business OS is a modular, multi-tenant business operating system. Shared “Lego” modules (CRM, inventory, invoicing, calendar, notifications, documents, AI jobs, and related tools) are configured per industry edition. Features may change as we improve the product. We do not guarantee that every industry workflow will meet every regulatory certification unless a specific written addendum says so.
2. Accounts and organisations
- You must provide accurate registration information and keep credentials secure.
- Organisation owners are responsible for seats, roles, and inviting/removing users.
- You must promptly disable access for people who leave your organisation.
- Activity under your credentials is presumed authorised unless you notify us of compromise.
3. Customer data and roles
“Customer Data” means data, files, and content submitted to a workspace. As between the parties, the customer organisation owns Customer Data. You grant Business OS a limited licence to host, process, transmit, and display Customer Data solely to provide and secure the Service, including through subprocessors listed in the Privacy Policy.
For NDPA purposes, the customer is generally the controller of Customer Data and Business OS is a processor, except for account/billing/platform data where we act as controller. You must only submit data you have a lawful right to process, including special-category data in clinical, counselling, or legal editions.
4. Acceptable use
You agree not to:
- Breach any applicable law, including NDPA/NDPR obligations and sectoral rules
- Upload malware, attempt unauthorised access, or disrupt multi-tenant isolation
- Probe, scrape, or overload the Service beyond documented API limits
- Use the Service to send unlawful spam or deceptive communications
- Infringe intellectual property or privacy rights of others
- Misrepresent AI outputs as certified professional advice
- Resell the Service or remove proprietary notices without written permission
We may suspend or terminate access for serious or repeated violations.
5. Subscriptions, trials, and fees
Paid plans (for example Starter, Growth, Scale) are billed according to the pricing shown at purchase or in an order form. Fees are in Nigerian Naira unless otherwise stated. Taxes may apply. Unless an order says otherwise, subscriptions renew automatically until cancelled. Failed payments may interrupt access.
Trials are provided as-is and may be modified or ended at any time. Refunds, if any, follow the policy stated at checkout or in your order form.
6. AI and automated insights
AI features are assistive. Outputs may be inaccurate or incomplete. You remain responsible for verifying results before taking operational, clinical, legal, financial, or safety-critical actions. Do not rely on AI as a sole decision-maker for life, health, liberty, or significant financial outcomes.
7. Intellectual property
Business OS, its software, branding, documentation, and design systems remain our intellectual property (or our licensors’). These Terms do not transfer ownership of our IP. Feedback you provide may be used to improve the Service without obligation to you.
8. Privacy and security
Our Privacy Policy describes personal data practices and NDPC-aligned commitments. You are responsible for configuring access controls inside your organisation and for the legality of Customer Data. You must notify us promptly of suspected security incidents involving your workspace credentials.
9. Confidentiality
Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only for performing under these Terms, except for information that is public, independently developed, or required to be disclosed by law (with notice where legally permitted).
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESS OS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE FEES YOU PAID TO US FOR THE SERVICE IN THAT PERIOD (OR ₦100,000 IF YOU ARE ON A FREE/TRIAL PLAN). NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW (INCLUDING FRAUD OR DEATH / PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIMITATION IS UNLAWFUL).
12. Indemnity
You will defend and indemnify Business OS against claims, losses, and expenses (including reasonable legal fees) arising from Customer Data, your unlawful use of the Service, or your violation of these Terms or third-party rights — except to the extent caused by our wilful misconduct.
13. Suspension and termination
You may stop using the Service at any time and cancel per your plan rules. We may suspend or terminate for non-payment, risk to the platform, legal compulsion, or material breach. Upon termination, your right to access ends; we will make Customer Data available for export for a limited period where reasonably practicable, then delete or anonymise according to the Privacy Policy and any data processing addendum.
14. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Courts in Lagos State have exclusive jurisdiction, without prejudice to NDPC complaint rights for personal data matters and without prejudice to mandatory consumer protections that cannot be waived.
15. Changes
We may update these Terms by posting a revised version with a new “Last updated” date. Continued use after the effective date constitutes acceptance, except where mandatory notice or consent is required by law.
